1. Introduction & Company Information

Welcome to Crabcut AI ("Crabcut," "we," "us," or "our"). Crabcut is operated by Crabcut AI, registered with the Dutch Chamber of Commerce (Kamer van Koophandel) under number 98839586, VAT identification number NL005356958B40, located in The Netherlands.

These Terms of Use ("Terms") govern your access to and use of the Crabcut platform, websites (including crabcut.ai), applications, APIs, and all related products, services, and features (collectively, the "Services"). Please read these Terms carefully before using the Services.

By accessing or using the Services, you agree to be bound by these Terms, our Privacy Policy, and any Additional Terms referenced herein (together, this "Agreement"). If you do not agree to all of the terms in this Agreement, you may not use the Services.

2. Description of the Services

Crabcut is an AI-powered video repurposing platform that enables users to transform long-form video content into short-form vertical clips optimized for social media platforms such as TikTok, YouTube Shorts, and Instagram Reels.

The Services include, but are not limited to:

  • Uploading and ingesting video content (via file upload or URL)
  • AI-powered transcription of audio content
  • AI-powered detection and selection of highlight clips
  • Automatic reframing of video to vertical (9:16) format with face tracking
  • AI-generated captions, subtitles, hook text, and metadata
  • Branding tools (logos, custom styles, music)
  • Export and rendering of final clips
  • Direct publishing to YouTube and TikTok via connected accounts
  • A developer API for programmatic access

3. Who May Use the Services

Age Requirements

You must be at least 16 years old to use the Services. If you are under 16, you may only use the Services with the verifiable consent and supervision of a parent or legal guardian who agrees to be bound by this Agreement. We do not knowingly collect data from children under 16 without parental consent.

Business Users

If you are using the Services on behalf of a company, organization, or other legal entity, you represent and warrant that you have the authority to bind that entity to this Agreement, and the terms "you" and "your" shall refer to that entity.

4. Account Registration & Security

To access certain features, you must create an account. You may register using an email address (with magic link or one-time password) or through Google sign-in. You agree to:

  • Provide accurate and complete registration information
  • Maintain the security of your account credentials and API keys
  • Promptly notify us of any unauthorized access to your account
  • Accept responsibility for all activity that occurs under your account

We reserve the right to suspend or terminate accounts that we reasonably believe have been compromised.

5. AI Processing & Third-Party AI Services

The Services rely on artificial intelligence and machine learning technologies, including third-party AI providers, to deliver core functionality. By using the Services, you acknowledge and agree to the following:

5.1 How AI Is Used

  • Transcription: Your video's audio is processed by Deepgram, a third-party speech-to-text provider, to generate transcripts with word-level timing and speaker identification.
  • Highlight Detection: Transcripts are analyzed by OpenAI's language models (e.g., GPT-4o) to identify the most engaging segments and generate virality scores, hook text, and clip titles.
  • Metadata Generation: OpenAI models may generate suggested titles, descriptions, and tags for your clips to optimize discoverability on social platforms.
  • Reframing & Rendering: Computer vision models are used to track subjects and faces for intelligent vertical cropping.

5.2 Data Sent to AI Providers

To provide the Services, portions of your content (audio, transcripts, and video metadata) are transmitted to third-party AI providers (currently OpenAI and Deepgram). These providers process your data solely to deliver functionality to you through the Services and are bound by their own data processing agreements with us.

5.3 No AI Training on Your Content

Crabcut does not use your content to train AI or machine learning models. Your videos, audio, transcripts, and generated clips are used exclusively to provide the Services to you. We use OpenAI's and Deepgram's API services, which operate under data processing terms that prohibit the use of customer data for model training.

5.4 AI Output Accuracy

AI-generated outputs (including transcriptions, clip selections, captions, hook text, and metadata suggestions) are produced automatically and may contain errors, inaccuracies, or content that does not meet your expectations. You are responsible for reviewing and editing all AI-generated content before publishing or distributing it. Crabcut does not guarantee the accuracy, quality, or suitability of any AI-generated output.

6. Your Content & Intellectual Property

6.1 Your Ownership

You retain all ownership rights in the content you upload to the Services ("User Content"). Crabcut does not claim ownership over your User Content.

6.2 Ownership of AI-Generated Outputs

Subject to your compliance with this Agreement, you own the clips, captions, subtitles, and other derivative works generated by the Services from your User Content ("Output Content"). You are free to use, distribute, and commercialize your Output Content without restriction, subject to applicable law and the intellectual property rights of others.

6.3 License to Crabcut

By uploading User Content, you grant Crabcut a limited, non-exclusive, worldwide, royalty-free license to access, store, process, transcode, and transmit your User Content solely as necessary to operate and provide the Services to you. This license does not grant Crabcut the right to use your User Content for marketing, promotional, or any other purpose unrelated to service delivery without your separate, explicit consent. This license terminates when you delete your User Content or your account, subject to reasonable backup and deletion timelines.

6.4 Your Responsibilities for Uploaded Content

You are solely responsible for all content you upload to or process through the Services. Crabcut is a tool that processes content on your behalf — we do not review, verify, or approve User Content before or after processing.

By uploading content, you represent and warrant that:

  • You are the original creator of the content, or you have obtained all necessary rights, licenses, and permissions from the rightful owner(s) to upload and process it
  • The content does not infringe or violate the intellectual property rights, copyright, trademark, privacy rights, publicity rights, or any other rights of any third party
  • You have obtained all required consents from any individuals who appear in or are identifiable in the content (including consent for AI processing, face tracking, and redistribution)
  • The content complies with all applicable laws and regulations in your jurisdiction
  • You will only use the Output Content (generated clips, captions, etc.) in a manner consistent with applicable law and the rights of others

Crabcut accepts no responsibility or liability for User Content. We do not monitor, endorse, or assume any obligation regarding the legality, accuracy, or appropriateness of content uploaded by users. If we receive a valid complaint or legal notice regarding your content, we may remove it and/or suspend your account in accordance with Section 11 (Copyright & DMCA Policy) and Section 12 (Account Termination).

7. Subscriptions, Credits & Billing

7.1 Plans & Credits

The Services are offered under tiered subscription plans (e.g., Free, Starter, Pro), each with defined limits on upload duration, resolution, features, and processing credits. Credits are consumed when you process video content (approximately 1 credit per minute of source video).

7.2 Billing & Auto-Renewal

Paid subscriptions are billed through Stripe. By subscribing to a paid plan, you authorize recurring charges at the applicable rate. Subscriptions auto-renew at the end of each billing cycle unless cancelled before the renewal date. Prices may change with 30 days' notice.

7.3 Free Plan Limitations

Free plan exports may include a Crabcut watermark and are limited in resolution and features as described on our pricing page. Upgrading to a paid plan removes these limitations.

7.4 Cancellation & Refunds

You may cancel your subscription at any time through your account settings. Upon cancellation, you retain access to paid features until the end of your current billing period. Unused credits do not carry over after cancellation or plan expiration and are non-refundable.

Under EU consumer protection law, you have a 14-day right of withdrawal from the date of purchase. However, by using the Services to process video content during this period, you acknowledge that the digital service has been fully performed, and you waive your right of withdrawal to the extent permitted by Article 16(a) of Directive 2011/83/EU.

8. Acceptable Use & Restrictions

You agree not to use the Services to:

  • Upload, process, or distribute content that infringes intellectual property rights or violates any applicable law
  • Upload content that is illegal, harmful, threatening, abusive, harassing, defamatory, obscene, or that exploits minors
  • Attempt to reverse engineer, decompile, or extract the source code of the Services or underlying AI models
  • Circumvent usage limits, credit systems, watermarks, or other technical restrictions
  • Use automated means (bots, scrapers, crawlers) to access the Services outside of our official API
  • Resell, sublicense, or provide the Services to third parties as a managed service without our written consent
  • Interfere with or disrupt the integrity or performance of the Services
  • Attempt to gain unauthorized access to other users' accounts or data
  • Use the Services to generate spam, misleading content, or deepfakes intended to deceive

We reserve the right to suspend or terminate your access for violations of this section, with or without notice, depending on the severity of the violation.

9. Third-Party Platform Integrations

The Services allow you to connect third-party accounts (including YouTube and TikTok) for direct publishing. By connecting these accounts, you:

  • Authorize Crabcut to access your account via OAuth to publish content on your behalf
  • Acknowledge that you remain solely responsible for compliance with each platform's terms of service and community guidelines
  • Understand that Crabcut is not responsible for any actions taken by third-party platforms (e.g., content removal, account suspension, or policy changes)
  • May disconnect your accounts at any time through your account settings, after which stored OAuth tokens will be deleted

The Services may also integrate with third-party stock media providers (e.g., Pexels) for B-roll content. Your use of such media is subject to the respective provider's license terms.

10. API Terms of Use

If you access the Services through our developer API, the following additional terms apply:

  • API keys are personal to your account and must not be shared or exposed publicly
  • You are responsible for all activity conducted through your API keys
  • You must not exceed documented rate limits or use the API in a way that degrades the service for other users
  • You may not use API access to build a competing service or to resell Crabcut's functionality without written permission
  • We reserve the right to revoke API access for violations of these Terms or for excessive or abusive usage
  • The API is provided without any uptime guarantees or SLA unless separately agreed in writing

11. Copyright & DMCA Policy

Crabcut respects the intellectual property rights of others and expects users to do the same. If you believe that content on the Services infringes your copyright, you may submit a takedown notice to our designated copyright agent:

Your notice must include:

  • Identification of the copyrighted work claimed to be infringed
  • Identification of the infringing material and its location on the Services
  • Your contact information (name, address, email, phone number)
  • A statement that you have a good faith belief the use is not authorized
  • A statement under penalty of perjury that the information is accurate and you are the copyright owner or authorized representative
  • Your physical or electronic signature

We will respond to valid notices in accordance with applicable copyright law. Repeat infringers may have their accounts terminated.

12. Account Termination & Data Deletion

12.1 Termination by You

You may delete your account at any time through your account settings. Upon deletion, we will remove your User Content, projects, clips, and associated data from our active systems within 30 days. Backup copies may persist for up to 90 days before being fully purged. Deletion does not affect content already published to third-party platforms.

12.2 Termination by Crabcut

We may suspend or terminate your account if you violate this Agreement, engage in fraudulent activity, or if required by law. Where possible, we will provide reasonable notice before termination unless immediate action is necessary to protect the Services or other users.

12.3 Effect of Termination

Upon termination, your license to use the Services ceases immediately. Sections that by their nature should survive (including Sections 6, 8, 13, 14, 15, and 16) will survive termination.

13. Indemnification

To the extent permitted by applicable law, you agree to indemnify, defend, and hold harmless Crabcut and its officers, directors, employees, and agents from any claims, damages, losses, liabilities, and expenses (including reasonable legal fees) arising out of or related to: (a) your use of the Services; (b) your User Content; (c) your violation of this Agreement; or (d) your violation of any rights of a third party.

14. Warranty Disclaimer

THE SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, OR STATUTORY, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

WITHOUT LIMITING THE FOREGOING, CRABCUT DOES NOT WARRANT THAT: (A) THE SERVICES WILL BE UNINTERRUPTED, SECURE, OR ERROR-FREE; (B) AI-GENERATED OUTPUTS WILL BE ACCURATE, COMPLETE, OR SUITABLE FOR ANY PARTICULAR PURPOSE; (C) TRANSCRIPTIONS WILL BE FREE OF ERRORS; OR (D) THE SERVICES WILL MEET YOUR SPECIFIC REQUIREMENTS.

15. Limitation of Liability

TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, CRABCUT SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, DATA, USE, OR GOODWILL, ARISING OUT OF OR RELATED TO YOUR USE OF THE SERVICES.

CRABCUT'S TOTAL AGGREGATE LIABILITY FOR ALL CLAIMS ARISING OUT OF OR RELATED TO THIS AGREEMENT SHALL NOT EXCEED THE GREATER OF (I) ONE HUNDRED EUROS (€100) OR (II) THE AMOUNTS PAID BY YOU TO CRABCUT IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM.

NOTHING IN THIS AGREEMENT EXCLUDES OR LIMITS LIABILITY FOR: (A) DEATH OR PERSONAL INJURY CAUSED BY NEGLIGENCE; (B) FRAUD OR FRAUDULENT MISREPRESENTATION; OR (C) ANY LIABILITY THAT CANNOT BE EXCLUDED OR LIMITED UNDER APPLICABLE LAW, INCLUDING MANDATORY EU CONSUMER PROTECTION LAWS.

16. Governing Law & Dispute Resolution

This Agreement shall be governed by and construed in accordance with the laws of The Netherlands, without regard to its conflict of law principles. Any disputes arising from or in connection with this Agreement shall be submitted to the exclusive jurisdiction of the competent courts in The Netherlands.

If you are a consumer in the European Union, you retain any mandatory protections provided by the law of your country of residence. You may also use the European Commission's Online Dispute Resolution (ODR) platform at https://ec.europa.eu/consumers/odr.

17. Changes to These Terms

We may modify these Terms from time to time. If we make material changes, we will notify you by email (to the address associated with your account) or by posting a prominent notice on the Services at least 30 days before the changes take effect. Your continued use of the Services after the effective date constitutes acceptance of the updated Terms.

If you do not agree to the updated Terms, you may close your account before the changes take effect.

18. General Provisions

  • Entire Agreement: This Agreement constitutes the entire agreement between you and Crabcut regarding the Services and supersedes all prior agreements.
  • Severability: If any provision of this Agreement is found to be unenforceable, the remaining provisions shall continue in full force and effect.
  • No Waiver: Our failure to enforce any right or provision of this Agreement shall not constitute a waiver of such right or provision.
  • Assignment: You may not assign or transfer this Agreement without our written consent. We may assign our rights and obligations without restriction.
  • Force Majeure: Crabcut shall not be liable for any failure or delay in performing obligations due to circumstances beyond our reasonable control, including natural disasters, pandemics, internet outages, third-party service failures, or government actions.
